NLB successfully squeezed out remaining shareholders of NLB Komercijalna banka to reach 100% ownership

Pursuant to the Ljubljana Stock Exchange Rules and Article 158 of the Market in Financial Instruments Act, NLB d.d., Trg republike 2, 1000 Ljubljana announces:
On 13 July 2022, Nova Ljubljanska banka d.d., Ljubljana successfully squeezed out the remaining shareholders of NLB Komercijalna banka a.d. Beograd and thereby became the owner of 100% of this Serbian bank. Prior to the squeeze-out process, NLB d.d. owned 90.2155% of share capital and 91.7294% of voting rights. Through the squeeze-out process, NLB d.d. acquired 1,528,110 regular shares and 316,260 preferred shares with a total value of EUR 61.7 million.
The squeeze-out process was conducted entirely in accordance with the Serbian Companies Act. Increasing the ownership in NLB Komercijalna banka a.d. Beograd further strenghtens NLB’s market position on one of the key markets to deliver the NLB Group’s strategic ambitions.
