NLB started squeeze-out of remaining shareholders of NLB Komercijalna banka

Pursuant to the Rules of the Ljubljana Stock Exchange and Article158 of the Market in Financial Instruments Act, relating to the Article 17 of the Regulation (EU) No 596/2014, NLB d.d., Trg republike 2, 1000 Ljubljana announces:
On May 23, 2022 Nova Ljubljanska banka d.d., Ljubljana acquired additional 442,799 ordinary shares of NLB Komercijalna banka a.d. Beograd and combined with existing shareholding reached the ownership of 90.2155% of the basic capital and 91.7294% of shares with voting rights, effectively reaching the squeeze-out threshold as defined by Article 515 paragraph 1 of the Serbian Company Law. On May 24, 2022 Nova Ljubljanska banka d.d., Ljubljana has sent to NLB Komercijalna banka a.d. Beograd a request for the squeeze-out of all remaining shareholders.
NLB expects the squeeze-out to have neutral effect on profit and loss on Group level. Increasing ownership in NLB Komercijalna banka to the 100% ownership is aligned with strategic ambitions of NLB Group and presents another indication of importance of Serbian market for NLB Group’s ambitions to become a regional champion.
